外資公司注冊(cè)流程是怎樣的

　　外商獨(dú)資企業(yè) 所需材料清單

　　1. 母公司名稱、地址、電話及公司概況等;

　　Name, address, telephone No., background of the investor;

　　2. 對(duì)擬申辦公司名稱及備用名的確認(rèn)書;

　　Confirmation of name and standby names for the company to be set up;

　　3. 合作(資)合同(意向書);

　　Letter of intend or contract for joint venture or cooperative venture;

　　4. 投資目的;df

　　Purpose for investment;

　　5. 投資外方的合法開業(yè)證明及當(dāng)?shù)卣淖C明書復(fù)印件，中方投資者提供發(fā)照機(jī)關(guān)確認(rèn)的企業(yè)法人營(yíng)業(yè)執(zhí)照復(fù)印件;

　　Xerox copy of legal license of both foreign investor and Chinese investor;

　　6. 外方資信證明正本二份;

　　Original of credit worthiness of the foreign investor (Bank issues);

　　7. 注冊(cè)地址、開業(yè)地的房屋租賃合同、產(chǎn)權(quán)證明及租賃證或土地批租合同;

　　Registered address, leasing contract, certificate of real estate, and certificate for leasing;

　　8. 經(jīng)營(yíng)范圍、期限;

　　Business scope and term;

　　9. 總投資及注冊(cè)資金、資本構(gòu)成，投資比例(合資需要);

　　Total investment and registered capital, proportion of investment;

　　10. 經(jīng)濟(jì)估算;

　　Economic estimation;

　　11. 公司機(jī)構(gòu)及用工人數(shù),

　　Company operational structure and Number of employee;

　　12. 市場(chǎng)分析與經(jīng)濟(jì)效益分析;

　　Market and economic analysis;

　　以上為編寫可行性研究報(bào)告及開業(yè)登記需要

　　This is required for feasibility study and business license

　　13. 董事長(zhǎng)、副董事長(zhǎng)(若有)、董事、總經(jīng)理、副總經(jīng)理(若有)身份證復(fù)印件、及委派書正本二份，董事長(zhǎng)、總經(jīng)理、董事的簡(jiǎn)歷(學(xué)歷、工作經(jīng)歷-年份上連貫)、董事長(zhǎng)照片二張;

　　Identifications (two Xerox copies) and attorney (two Original) of directors, general or deputy general manager; resume of chairman, general manager and directors, and two photos of chairman of the board;

　　如設(shè)立生產(chǎn)性企業(yè)還需提供：

　　If setting up a manufacturing company, the following are required:

　　14. 規(guī)劃用地許可，環(huán)境評(píng)估報(bào)告，

　　Permission for land use, environment evaluation report

　　15. 生產(chǎn)產(chǎn)品名稱、生產(chǎn)規(guī)模、設(shè)備清單、工藝路線及流程
